Welcome to SecriSuite. By accessing or using our platform, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use the platform.

1. Use of the Platform

SecriSuite provides a cloud-based platform designed to assist with company secretarial and compliance management in South Africa.

You agree to use the platform only for lawful purposes and in accordance with these Terms.

2. User Accounts

• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity under your account.
• You must ensure that all information provided is accurate and up to date.

3. Subscription and Access

• Access to SecriSuite is subject to an active subscription.
• We reserve the right to suspend or terminate access if payment is not maintained.
• We may modify or discontinue features at any time without prior notice.

4. Data Responsibility

You are solely responsible for the accuracy, completeness, and legality of all data entered into the platform, including client, director, and shareholder information.

5. Data Storage and Security

We implement reasonable administrative, technical, and organisational measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security.

6. Limitation of Liability

SecriSuite is provided on an "as is" and "as available" basis.

While we implement reasonable safeguards to protect data and ensure platform reliability, we do not guarantee that the platform will be uninterrupted, error-free, or completely secure at all times.

To the fullest extent permitted by applicable South African law, SecriSuite, its owners, employees, and affiliates shall not be held liable for any direct, indirect, incidental, consequential, or special damages, including but not limited to:

• Loss of data, corruption of data, or unauthorised access to data
• Security breaches, hacking incidents, or cyberattacks
• System downtime, service interruptions, or technical failures
• Loss of business, revenue, or profits
• Errors or inaccuracies in stored or generated information

Users acknowledge that they use the platform at their own risk.

Users are solely responsible for maintaining backups of their data and for ensuring the security of their account credentials.

Nothing in this clause shall exclude or limit liability where such exclusion is not permitted under applicable law.

7. Backups

While we may perform backups, you remain responsible for maintaining your own copies of critical data.

8. Indemnity

You agree to indemnify, defend, and hold harmless SecriSuite, its owners, employees, and affiliates from and against any claims, damages, liabilities, losses, or expenses arising out of:

• Your use of the platform
• Your violation of these Terms
• Any data you submit, store, or manage using the platform

9. Professional Use Disclaimer

SecriSuite is a management tool and does not provide legal, financial, or professional advice. Users remain responsible for ensuring compliance with applicable laws and regulations.

10. Intellectual Property

All content, software, and functionality of SecriSuite remain the property of SecriSuite and may not be copied, reproduced, or distributed without permission.

11. Termination

We reserve the right to suspend or terminate your access if you violate these Terms or misuse the platform.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the platform constitutes acceptance of any changes.

13. Governing Law

These Terms are governed by the laws of South Africa.
